01The agreement

These terms are an agreement between TalkRobin (“TalkRobin”) and the business or person that creates a TalkRobin account (“you”). By creating an account or using TalkRobin you accept these terms, our acceptable use policy and our data processing agreement. If you accept on behalf of a company, you confirm that you are authorized to do so.

An Enterprise order form signed by both parties takes priority over these terms where they differ.

02Your account

• You must be at least 18 years old and give accurate account information.
• Keep sign-in details secure. We recommend turning on two-factor sign-in for every team member.
• You are responsible for the people you invite and for everything done through your account.
• Tell us straight away at security@talkrobin.com if you suspect unauthorized access.

03Plans, trials and limits

Each plan includes a set number of agents and websites, and monthly allowances for chats and session replays, as shown on our pricing page and in your dashboard under Plan & usage. Monthly allowances reset on the first day of each month (UTC).

• Free is free forever, within its limits. When the monthly chat allowance is used up, new visitors can’t start a chat until it resets. Existing conversations continue.
• Trials: Pro and Business start with a 14-day free trial. No card is needed to start. If the trial ends without an upgrade, the account moves to Free and features outside Free are switched off. Your data is kept.
• Replays stop recording new visits once the month’s allowance is reached, and start again when it resets.

We may change plans and prices. Changes to a paid plan you already have take effect at your next billing period, with at least 30 days’ notice.

04Billing

Paid plans are billed in US dollars, in advance, monthly or yearly, and renew automatically until cancelled. Prices exclude taxes, which are added where required. Upgrades take effect immediately and are charged pro rata. Downgrades take effect at the end of the current billing period.

If a payment fails we will retry and let you know. If it remains unpaid after 14 days, we may move the account to Free. Cancellation and refunds are covered in our refund policy.

05Your content and data

You own the content you and your visitors put into TalkRobin, including conversations, contacts and visitor data (“Customer Data”). You give us permission to host, process and display Customer Data only to provide, secure and support TalkRobin for you, as described in our DPA.

You are responsible for having the right to collect Customer Data, and for giving your visitors any notice and obtaining any consent that the law requires. For example, this can mean mentioning TalkRobin in your privacy policy and using consent mode where cookie laws apply. You can export Customer Data or delete your account at any time from the dashboard.

06Acceptable use

Don’t misuse TalkRobin. That includes using it on websites you don’t control, spamming, harassment, collecting sensitive information such as card numbers through chat, or attempting to access another business’s data. The full list is in our acceptable use policy.

07Our service

TalkRobin, including its software, design and brand, belongs to us and our licensors. We give you a limited, non-exclusive, non-transferable right to use it during your subscription. Don’t copy, resell, reverse engineer or build a competing product from it.

We work to keep TalkRobin available and improve it continuously, and we may add, change or remove features. Uptime commitments (SLAs) are offered on Enterprise plans. TalkRobin connects to third-party services, such as email, messaging apps and analytics, that have their own terms.

If you send us feedback or ideas, we may use them without obligation to you.

08Suspension and termination

You can close your account at any time from the dashboard. We may suspend or close an account that breaks these terms, fails to pay, or puts TalkRobin, our customers or visitors at risk. Where reasonable we will warn you first and give you a chance to export your data. After an account is closed, Customer Data is deleted as described in our privacy policy.

09Disclaimers

Except as expressly stated in these terms, TalkRobin is provided “as is” and “as available”. To the fullest extent the law allows, we disclaim all implied warranties, including merchantability, fitness for a particular purpose and non-infringement. We don’t promise the service will be uninterrupted or error-free.

10Limitation of liability

To the fullest extent the law allows, neither party is liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue or data. Each party’s total liability under these terms is limited to the amount you paid TalkRobin in the 12 months before the claim, or US $100 if greater. These limits don’t apply to your payment obligations, breaches of the acceptable use policy, or a party’s indemnity obligations.

11Indemnity

You will defend and indemnify TalkRobin against third-party claims arising from Customer Data, your websites, or your breach of these terms or the acceptable use policy. We will defend and indemnify you against third-party claims that TalkRobin, as we provide it, infringes their intellectual property rights.

12Governing law

These terms are governed by the laws of the state in which TalkRobin is registered, United States, without regard to conflict-of-law rules. Disputes will be resolved in the state or federal courts located there, and both parties consent to that jurisdiction. Before filing a claim, each party agrees to try to resolve the dispute informally for 30 days.

13Changes to these terms

We may update these terms. If a change is material, we will give account owners at least 30 days’ notice by email or in the dashboard. Continuing to use TalkRobin after a change takes effect means you accept it. Other terms: you may not assign this agreement without our consent; if a provision is unenforceable, the rest remains in effect; and these terms are the entire agreement between us about TalkRobin.
